Terms of Service

1. Agreement to these Terms

Legado ("Legado," "we," "us") is operated by [Company Legal Name]. These Terms of Service ("Terms") are a binding legal agreement between you and Legado governing your access to and use of the Legado application, website, and related services (the "Service"). By checking the acceptance box, signing in, creating a profile, or recording or uploading any content, you agree to these Terms and to the Legado Usage Policy, each incorporated here by reference. If you do not agree, do not use the Service.

2. Eligibility and age requirement

You must be at least 18 years old to create an account or record, upload, or submit any content to the Service, including as a recipient of a question link. The Service is not directed to and may not be used by anyone under 18. We do not knowingly collect personal information from children under 13; if you believe a child under 13 has provided information to us, contact legal@heylegado.com and we will delete it.

3. What Legado is — and what it is not (AI disclosure)

Legado uses artificial intelligence to create a synthetic, interactive "persona" that imitates a real person's voice, personality, speech patterns, and recollections based on recordings and information you provide. A persona is an AI-generated recreation. It is not the real person. It is not conscious, and it does not have the knowledge, memory, judgment, or intentions of the real person. Persona outputs are generated by predictive AI models and may be inaccurate, incomplete, invented ("hallucinated"), or out of character. You should not rely on any persona output as a statement of fact, as advice of any kind (including medical, legal, financial, or mental-health advice), or as the actual words, wishes, or beliefs of the real person, whether living or deceased. When you interact with a persona by voice or text, an on-screen notice will indicate that you are interacting with AI, not a human.

4. Your account

Access uses passwordless email ("magic link") sign-in. You are responsible for maintaining access to the email address associated with your account and for all activity that occurs under your account. Notify us promptly at legal@heylegado.com of any unauthorized use.

5. Content you provide; the three consent categories

"User Content" means all recordings (audio and video), transcripts, photographs, biographical text, names, relationships, and other information you record, upload, or submit. You may create a persona only in one of these categories, and by submitting User Content you represent and warrant that one of them applies:

(a) Yourself. The persona is of you, and the recordings are of your own voice and likeness.

(b) A living person other than yourself. You have obtained that person's informed, express permission to record and upload their voice, likeness, and biographical information, to have their voice cloned, and to create an AI persona of them within the Service. You will provide evidence of that permission on our request, and you will stop and delete the persona if that person withdraws permission.

(c) A deceased person. The person has died, and you have the legal right and authority to preserve and use their voice, likeness, and personal information for these purposes — for example, as the person's authorized successor-in-interest, executor, or heir, or with that authority's permission. You understand that the rights in a deceased person's voice and likeness may be owned by their estate, heirs, or successors under state law, that these "postmortem right of publicity" and "digital replica" rules vary significantly by state and by how long the person has been deceased, and that you — not Legado — are responsible for holding the necessary rights.

You retain ownership of your User Content. You grant Legado a worldwide, non-exclusive, royalty-free license to host, store, process, transcribe, analyze, transmit, and create derived works from your User Content (including voice models and persona profiles) solely to operate, secure, and improve the Service and to provide it to you and to the people you authorize to access a persona. This license ends when you delete the relevant content or account, except for (i) copies retained transiently in backups for a limited period and (ii) content we must retain to comply with law.

6. Voice cloning and biometric information

Creating a persona involves generating a computer model of a person's voice (a "voiceprint" or voice model) using a third-party provider. In some jurisdictions a voiceprint is treated as biometric information subject to specific consent, notice, retention, and deletion rules. By submitting a recording, you represent that you have obtained any consent required under applicable law from the person whose voice is recorded — including, where required, written consent to the collection, use, and storage of their voiceprint — before you submit that recording. You may request deletion of a voice model at any time as described in Section 11.

7. Sharing and access by others

The Service lets you share a persona with other people, including through a public link that allows people who do not have a Legado account to text or talk with the persona. You are responsible for who you share a persona with and for ensuring that sharing is consistent with the consent you obtained under Section 5. People who interact with a persona you share are subject to these Terms and the Usage Policy.

8. Question-relay recordings by third parties

The Service lets you send a question by email to another person, who can record an answer through a link without creating an account. If you send such a request, you represent that the recipient has agreed to be contacted. If you are a recipient recording an answer, you consent to Legado collecting and processing your recording and voice for the purpose of adding it to the relevant persona, you confirm you are at least 18, and you agree to these Terms and the Usage Policy.

9. Prohibited uses

Your use of the Service is also governed by the Usage Policy. Without limiting it, you may not use the Service to impersonate anyone for fraud, deception, or financial gain; to harass, threaten, defame, or harm anyone; to create a persona of any person without the authorization required by Section 5; to create a persona of a minor; to generate sexual, violent, hateful, or unlawful content; or to violate any person's privacy, publicity, biometric, or intellectual-property rights.

10. No professional advice; not a crisis service

The Service and any persona are for personal, non-professional use. They do not provide medical, legal, financial, or mental-health advice and are not a substitute for a professional. The Service is not a crisis service. If you or someone else may be in danger or in crisis, contact your local emergency number or a crisis line such as 988 (the Suicide and Crisis Lifeline in the U.S.) immediately.

11. Data retention and deletion

You may delete a persona, a recording, or your account through the Service or by contacting legal@heylegado.com. When you delete a persona or account, we will delete or de-identify the associated recordings, transcripts, persona profile, and voice model within 30 days, and we will request deletion of the associated voice model from our voice provider, except for limited backup copies and any data we must retain to comply with law or resolve disputes.

12. Disclaimers of warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PERSONA OUTPUTS ARE ACCURATE, THAT THEY REFLECT THE REAL PERSON, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. LEGADO IS AN EARLY-STAGE PREVIEW AND MAY CHANGE OR BE DISCONTINUED.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGADO AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF GOODWILL, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY PERSONA OUTPUT. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You will indemnify and hold harmless Legado and its operators from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your breach of these Terms, or your violation of any person's rights — including any claim that you lacked the consent or authority required by Section 5 or 6.

15. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects how disputes are resolved. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by AAA under its consumer rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and Legado each waive the right to a jury trial and the right to participate in a class action or class-wide arbitration. You may opt out of this arbitration agreement by emailing legal@heylegado.com within 30 days of first accepting these Terms. This section does not apply to the extent prohibited by applicable law.

16. Governing law

These Terms are governed by the laws of the State of [State of incorporation], without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 15.

17. Changes to these Terms

We may update these Terms. If we make material changes, we will notify you and update the version and effective date, and we may require you to accept the updated Terms before continuing to use the Service. Continued use after changes take effect means you accept them.
